Our Outlook For Stocks in 2014

The bull market received a bit of a scare last week as the S&P 500 fell almost 3%, the biggest single week loss since 2012. The market seems to have recovered this week, but a repeat of the 26% gain in 2013 doesn’t appear to be in the cards.


Long-Term Bullish


Last May I wrote that I’m long-term bullish and I don’t believe the stock market is in a bubble. I continue to stand by that thesis. The market has withstood the beginning of the Fed taper without suffering the massive decline that many predicted.


The article I linked to above contains the details of my outlook on the economy as a whole, so I won’t go into too much detail here. Basically, I believe the U.S. economy is undergoing a restructuring where we are becoming radically more productive. Businesses are allocating capital more efficiently; the labor force is retooling its skills for the new economy; and technological innovation continues to push the limits of human productivity. The implications of this advancement can be seen in Figure 1.

The average return on invested capital (ROIC) of 20% for the S&P 500 (NYSE: SPY) and the increasing economic earnings of S&P 500 companies supports this thesis. The slow growth in GDP over the past few years is a sign that companies are becoming more deliberate and careful in their capital allocation.


Valuations Raise Short-Term Concerns


Despite my bullish outlook on the economy as a whole, it’s impossible to ignore the fact that valuations are getting a little stretched. In the past few months, the price to economic book value (zero-growth value) ratio of SPY reached 2.6, which is what we consider to be a Dangerous level. Overall we still rate SPY as Neutral.


The high valuation of the S&P 500 shouldn’t send investors running for the hills, but I do expect that the market will be more turbulent this year as we see corrections in individual stocks and groups of stocks that have gotten especially overvalued.


Even though the market is richly valued, there are still plenty of good stock picks out there. Currently, 282 out of the 2,645 stocks we have under coverage (11%) earn an Attractive-or-better rating. 1,697 (64%) earn a Dangerous-or-worse rating. Figure 2 shows the rating landscape for stocks under our coverage.

As you can see from Figure 2, our ratings currently favor large cap stocks over small caps. Even though Very Dangerous stocks outnumber Very Attractive stocks by almost three to one, Very Attractive stocks have the greater combined market value. Attractive-or-better rated stocks make up only 11% of the stocks we cover but they account for 18% of the market value.


Over the past five years, small caps have handily outperformed large caps. The Russell 2000 (NYSE: IWM) rose by 153% since 2009 compared to 115% for the S&P 500. However, we believe the disparity in their performances signifies that small caps are now overvalued. The Russell 2000 currently has a price to economic book value ratio of 5.1, nearly double that of the S&P 500. There are still quality small-caps out there, but on average small caps are overvalued compared to large and mid cap stocks.


A Stock Pickers Market


I expect to see some corrections in the market this year as valuations fall more in line with fundamentals. I don’t think the market is overvalued enough to cause a large-scale crash, so the corrections should be mostly contained to individual stocks. Even as the market struggles in the short-term, money can be made by those capable of identifying undervalued and avoiding overvalued stocks.


AutoZone (NYSE: AZO) is one of the stocks that earn my Very Attractive rating. AZO has grown after-tax profit (NOPAT) by 8% compounded annually over the past decade. Going with my theme of increasingly intelligent capital allocation, AZO has also increased its ROIC from 20% to 25% over the past five years. At its current valuation of ~$500/share, AZO stands out with a price to economic book value ratio of only 1, which implies that the company will never grow NOPAT from its current level. Given AZO’s strong track record of profitability and growth, I believe the market is significantly undervaluing this company. I expect strong short-term and long-term performance from AZO.


As I said before, I remain long-term bullish on the market as a whole. However, many stocks out there need time to grow into their valuations. We should see many corrections and modest performance from the market as a whole this year, but that does not mean your portfolio can’t achieve significant returns.


The Big Picture and Fed Policy


While valuations are stretched and investors must operate with a higher level of diligence in today’s markets, I believe stabilization of the housing market supports the underlying health of the economy and consumer balance sheets.


Ever since the financial crisis, the Federal Reserve policy has unequivocally supported the capital markets. They needed to support these markets to offset the decline in the nation’s largest asset: housing. Now, that housing has stabilized and consumers are able to catch financial breath, Fed policy can get back to the business of ensuring capital is allocated intelligently. Keeping interest rates too low for too long undermines the long-term economic growth potential of our economy.


So, we can expect the Fed to continue to taper bond purchases and raise rates back to more normal levels in the foreseeable future. These changes will challenge the stock market and lead to a greater rationalization of stock valuations. Momentum strategies will no longer be effective. Cash will again be king as the market will more narrowly focus on awarding value only to the stocks that can generate cash flows in excess of what their current stock valuation implies.


Making money picking stocks is about understanding true cash flowsand identifying disconnects between the market’s expectations for future cash flows and your own expectations. Anything else is gambling, not investing.

Schorsch Open to Buying More Nonpublic Companies

Nicholas Schorsch has run out of public independent broker-dealers to buy.

“The only ones left … are LPL” and Raymond James, he said in an interview with ThinkAdvisor.

Schorsch and the empire he leads, which includes American Realty Capital (ARCP) and RCS Capital (RCAP), just moved to gobble up Summit Financial Services Group (SMMF) for $49 million on Monday.

That announcement came on the heels of news last month that RCS Capital was buying Investors Capital (ICH) and Hatteras Funds.

Grabbing a public entity is “expedient,” Schorsch says, because of the “measurable” financial results that are readily available about these companies.

Still, he adds, private firms are worthwhile investments, too, like First Allied Securities, an independent broker-dealer that RCAP acquired earlier this year.

“We are open to nonpublic companies for deals,” Schorsch said, though he wouldn’t comment on industry speculation that RCAP could be eying privately held IBDs, such as NEXT Financial and Kovack Securities.

As broker-dealers like Summit Financial, Investors Cap and First Allied are brought together, “Synergies are able to be recognized,” he said.

“We are not going to change or migrate head offices, so [advisor] clients won’t lose their touchpoints,” Schorsch insisted. “This is not about consolidating and getting rid of personnel. It’s really about growth.”

RCAP's overall growth offers broker-dealers support. “We have financial resources and capital to invest in better systems, more diverse products, better clearing and bigger clearing relationships, and we can make markets in multiple securities or trade bonds en masse for advisors and investors.”

As he sees it, “Our job is about size and scale. This is a company with about $50 billion of assets under management. We’ve raised $10 billion of equity on the wholesale side, for instance, and $13 billion on the investment-banking side. We’re like Evercore [Group] or Greeenhill …” which are independent investment banking and advisory firms, Schorsch said. “We have Hatteras Funds …and are diversifying very rapidly.”

As the operations come together and growth, executives like Larry Roth — formerly head of the AIG-owned Advisor Group and now in charge of Realty Cap Securities — will have their hands full.  

“Part of our story is attracting great people, like Larry Roth and Marshall Leeds [CEO of Summit Financial]. It’s a hell of a team, considering it can be hard to get people to work for a company that not everyone believes in. It’s very encouraging,” Schorsch said.

Still, he bemoans the fact that he has to tell (and sell) a "complicated story," since RCAP and its sister companies operate in five sectors: the wholesale broker-dealer, retail (encompassing the IBDs), investment banking and capital markets, transactions management and the transfer-agency businesses.

"This can be confusing," Schorsch said. "Our job is to articulate the story and prove out the model, while we drive growth for investors."

With more acquisitions planned for next year, after this year's meal is fully digested, RCAP seems to have a full plate in store for 2014.

LinkedIn's Earnings: What Investors Need to Know

Social-media job recruiter, LinkedIn (NYSE: LNKD  ) is reporting results later today. While the Street is still sifting through Apple's earnings report and eagerly awaiting results from LinkedIn's social-media brethren, Facebook  (NASDAQ: FB  ) , could investors be overlooking an opportunity with LinkedIn? What should LinkedIn investors know, and what can LinkedIn learn from Facebook?

Amazing revenue growth must continue
S&P's Capital IQ consensus estimates project LinkedIn to report revenue of $385.5 million, an amazing 53% higher than last year's quarter. Revenue growth is extremely important and will be watched closely; investors have been extremely bullish on LinkedIn's prospects and have bid the company up from a price-to-sales ratio of 12 to its current ratio of nearly 23. If LinkedIn doesn't hit this ambitious goal, it's possible we could see a large selloff.

Guidance is important too
In addition to reporting phenomenal revenue for this quarter, LinkedIn must provide positive guidance for next quarter and the upcoming year. While the current consensus revenue estimate is receiving the most attention, lost is the fact that analysts are expecting LinkedIn to increase this quarter's revenue by over 40% in the September 2014 quarter by reporting $544.8 million.

Here's why they will do both
In a nutshell, the answer is mobile: LinkedIn has an aggressive plan to build out its mobile network, even hosting its first Mobile Day on Oct. 23. CEO Jeff Weiner hailed mobile as a "game-changer" for LinkedIn's products and revenue.

Looking at the numbers one can understand why: Mobile users are 2.5 times as active as desktop-only users. And while LinkedIn is more than just a social-media advertising model (54% of its revenue is talent solutions—job postings—and another 20% is premium subscriptions), all three of its business divisions will benefit from a more engaged user base.

LinkedIn is aggressively attacking this new opportunity. In addition to the company redesigning its iPad app, it also announced Intro to attaches profile information about an email's sender. While there were grumblings about privacy and security, you can see how LinkedIn is aggressively targeting the mobile experience.

Why the sudden change of heart?
Many initially thought that LinkedIn should have continued to build its website around the desktop experience and wonder why LinkedIn decided to pivot to mobile. The answer? To paraphrase famous bank robber Willie Sutton, "because that's where the monetization is."

Facebook shocked investors by growing mobile revenue from nearly nothing to 41% of its total ad revenue in the company's second quarter. Mark Zuckerberg even stated in his call that he expected to have more revenue on mobile than on desktop. Facebook reports tomorrow, and many investors expect the monetization in mobile to continue.

Final Foolish thoughts
LinkedIn is a clear leader in this space and has become a must have for any career-oriented professional. Wall Street has high hopes for revenue growth, guidance, and monetization of mobile. LinkedIn has ambitious targets but appears to have a plan to meet those goals.

Is Starbucks' Howard Schultz Setting Up a Succession Plan?

NEW YORK (TheStreet) - Starbucks (SBUX) shares were rising slightly in post-markets trading to $71.70, up 0.2%, after the Seattle-based company made some changes to its management team. CFO Troy Alstead will become its chief operating officer, a newly created position to oversee day-to-day operations of the company.

The move, along with two other promotions effective Feb. 3, comes as Chairman and CEO Howard Schultz looks to focus on more on "the convergence and integration of our retail and e-commerce, digital, card and mobile assets around the world," according to a statement. Schultz is taking on more "innovation," leaving less time in the way of daily company management.

Shares finished down 3.2% in Wednesday trading, closing at $71.56.

But was the late-Wednesday announcement a nod to what will eventually be the succession line up behind the coffee chain's beloved Schultz? It seemed clear that Schultz, who turned 60 this past July, was signaling something.

"Ever so quietly, Howard Schultz has signaled his intention to hand over the reins to three possible internal candidates within the next three to five years," says Brian Sozzi, CEO and chief equity strategist of Belus Capital Advisors and RealMoney contributor. Starbucks said in the release Schultz will work closely with others in the senior leadership team, including chief digital officer Adam Brotman and chief strategy officer Matt Ryan, to "expand his focus on innovation in coffee, tea and the Starbucks Experience as well as next generation retailing and payments initiatives in the areas of digital, mobile, card, loyalty and e-commerce to position Starbucks for its next wave of global growth."

"He will also continue to work closely with his senior leadership team to ensure continued disciplined growth and operational excellence around the world." Last Thursday, Starbucks reported first-quarter earnings of 71 cents a share that beat consensus by 2 cents. Revenue rose 12% to $4.24 billion, however Wall Street was expecting more, looking for $4.29 billion. Same-store sales in the U.S. also missed consensus expectations for the December-ending quarter, coming in at 5%, versus expectations of 6.4%. It was clear that even darling Starbucks felt some of the same troubles that many retailers felt during the holiday season.

Schultz, in much-talked about commentary after the earnings call, admitted that a huge shift is underway in the retail space that is affecting Starbucks as well.

"Holiday 2013 was the first in which many traditional brick-and-mortar retailers experienced in-store foot traffic give way to online shopping in a major way," Schultz said. "As our solid traffic growth and record Q1 results demonstrate, Starbucks unique combination of physical and digital assets positions us as one of the very few consumer brands with a national and global footprint to benefit from the seismic shift underway."

While everyone knows all good things must come to an end, investors have great confidence in Schultz. Shares of the stock rose the following day even with the missed expectations.

CFO Alstead has been with Starbucks for 22 years, starting in 1992 when the company was still private and operated just over 100 stores. Alstead, 50, has held numerous roles of progressing responsibility in finance and general management at the domestic, international and enterprise levels, the company said. He was also one of the original members of Starbucks international team, which included senior leadership roles in EMEA and China.

In his new capacity, Alstead will continue to report to Schultz and will be responsible for aligning and prioritizing company investments across business units. Besides Alstead's promotion, Starbucks said that Scott Maw, senior vice president of corporate finance, will replace Alstead as Starbucks' CFO. Craig Russell has been promoted to executive vice president of Global Coffee, it said. "These organizational moves map our internal talent to the rapidly evolving retail environment and significant strategic and market opportunities ahead of us," Schultz said in Wednesday's statement. "Each of these experienced Starbucks leaders will be working closely with the entire senior leadership team, and me, to bring even greater financial and operational discipline to our business around the world. They will partner with me as I focus on Starbucks mission, growth initiatives and the convergence and integration of our retail and e-commerce, digital, card and mobile assets around the world. NEW YORK (TheStreet) -- Here's what Jim Cramer had to say on CNBC's "Squawk on the Street" Tuesday.

Wedbush Securities is bullish on Tesla Motors (TSLA) after it sold a handful of vehicles in Beijing, China. "So let's buy Tesla," Cramer said sarcastically, referring to the beating that Apple (AAPL) is taking after selling 50 million iPhones in the previous quarter. "What a double standard the world has," he added. Apple is a holding in Cramer's charitable trust, Action Alerts PLUS. TSLA jumped 5.2% to close at $178.38.

Under Armour (UA) is a "very cheap stock when it comes to long-term growth," Cramer said. He added that CEO Kevin Plank is doing the right things. UA rose 3.4% to $85.78. Pacific Crest likes Salesforce.com (CRM) and Cramer said analysts have been coming out to support high-flying names after the selling seems to have subsided. "Enough is enough," he said, adding that CEO Marc Benioff is doing a good job. CRM was up 4% to $59.37. Sterne Agee cut its price target on Whole Foods Market (WFM) to $61. Cramer said co-CEOs Walter Robb and John Mackey are "doing a great job." He said the current trading level in the stock could be a possible good entry point. WFM was up 1.9% to $52. Stifel Nicolaus maintains its buy rating on Take-Two Interactive Software (TTWO), but raised its price target to $22. Cramer also likes the company, saying, "I think the stock goes to $20." TTWO was up 2.1% to $18.62. American Airlines (AAL) is higher after reporting earnings. Cramer is optimistic, saying, "This is the beginning of the next leg of growth for American Air." He said investors should own the stock. AAL flew 5.9% to $31.96. Hot Transportation Stocks To Own Right Now: MPLX LP (MPLX)

MPLX LP, incorporated on March 27, 2012, is a fee-based limited partnership formed by Marathon Petroleum Corporation to own, operate, develop and acquire crude oil, refined product and other hydrocarbon-based product pipelines and other midstream assets. The Company�� assets consist of a 51% indirect interest in a network of common carrier crude oil and product pipeline systems and associated storage assets in the Midwest and Gulf Coast regions of the United States.

The Company generates revenue by charging tariffs for transporting crude oil, refined products and other hydrocarbon-based products through its pipelines and at its barge dock and fees for storing crude oil and products at its storage facilities. The Company is also the operator of additional crude oil and product pipelines owned by Marathon Petroleum Corporation and its subsidiaries (MPC) and third parties, for which it is paid operating fees.

The Company�� assets consist of a 51% partner interest in Pipe Line Holdings, an entity which owns a 100.0% interest in Marathon Pipe Line LLC (MPL) and Ohio River Pipe Line LLC (ORPL), which in turn own: a network of pipeline systems, which includes approximately 962 miles of common carrier crude oil pipelines and approximately 1,819 miles of common carrier product pipelines extending across nine states. This network includes approximately 153 miles of common carrier crude oil and product pipelines, which it operates under long-term leases with third parties; a barge dock located on the Mississippi River near Wood River, Illinois, and crude oil and product tank farms located in Patoka, Wood River and Martinsville, Illinois and Lebanon, Indiana; and a 100.0% interest in a butane cavern located in Neal, West Virginia, which serves MPC�� Catlettsburg, Kentucky refinery.

Crude Oil Pipeline Systems

The Company�� crude oil pipeline systems and related assets are positioned to support crude oil supply options for MPC�� Midwest refineries, whic! h receive imported and domestic crude oil through a range of sources. Imported and domestic crude oil is transported to supply hubs in Wood River and Patoka, Illinois from a range of regions, including Cushing, Oklahoma on the Ozark pipeline system; Western Canada, Wyoming and North Dakota on the Keystone, Platte, Mustang and Enbridge pipeline systems, and the Gulf Coast on the Capline crude oil pipeline system.

The Company�� Patoka to Lima crude system is comprised of approximately 76 miles of 20-inch pipeline extending from Patoka, Illinois to Martinsville, Illinois, and approximately 226 miles of 22-inch pipeline extending from Martinsville to Lima, Ohio. This system also includes associated breakout tankage. Crude oil delivered on this system to MPC�� tank farm in Lima can then be shipped to MPC�� Canton, Ohio refinery through MPC�� Lima to Canton pipeline, to MPC�� Detroit refinery through MPC�� undivided joint interest portion of the Maumee pipeline, and its Samaria to Detroit pipeline, or to other third-party refineries owned by BP, Husky Energy, and PBF Energy in Lima and Toledo, Ohio.

The Company�� Catlettsburg and Robinson crude system is consisted of the pipelines: Patoka to Robinson and Patoka to Catlettsburg. Its Patoka to Robinson pipeline consists of approximately 78 miles of 20-inch pipeline, which delivers crude oil from Patoka, Illinois to MPC�� Robinson, Illinois refinery. Its Patoka to Catlettsburg pipeline consists of approximately 140 miles of 20-inch pipeline extending from Patoka, Illinois to Owensboro, Kentucky, and approximately 266 miles of 24-inch pipeline extending from Owensboro to MPC�� Catlettsburg, Kentucky refinery. Crude oil can enter this pipeline at Patoka, and into the Owensboro to Catlettsburg portion of the pipelines at Lebanon Junction, Kentucky, from the third-party Mid-Valley system.

The Company�� Detroit crude system is consisted of Samaria to Detroit and Romulus to Detroit. Its Samaria to Detroit pi! peline co! nsists of approximately 44 miles of 16-inch pipeline that delivers crude oil from Samaria, Michigan to MPC�� Detroit, Michigan refinery. This pipeline includes a tank farm and crude oil truck offloading facility located at Samaria.

The Company�� Romulus to Detroit pipeline consists of approximately 17 miles of 16-inch pipeline extending from Romulus, Michigan to MPC�� Detroit, Michigan refinery. Its Wood River to Patoka crude system is consisted of two pipelines: Wood River to Patoka and Roxanna to Patoka. Its Wood River to Patoka pipeline consists of approximately 57 miles of 22-inch pipeline, which delivers crude oil received in Wood River, Illinois from the third-party Platte and Ozark pipeline systems to Patoka, Illinois.

The Company�� Roxanna to Patoka pipeline consists of approximately 58 miles of 12-inch pipeline, which transports crude oil received in Roxanna, Illinois from the Ozark pipeline system to its tank farm in Patoka, Illinois.

Product Pipeline Systems

The Company�� product pipeline systems are positioned to transport products from five of MPC�� refineries to MPC�� marketing operations, as well as those of third parties. These pipeline systems also supply feedstocks to MPC�� Midwest refineries. These product pipeline systems are integrated with MPC�� expansive network of refined product marketing terminals, which support MPC�� integrated midstream business.

The Company�� Gulf Coast product pipeline systems include Garyville products system and Texas City products system. Other Major Midstream Assets

The Company�� butane cavern is located in Neal, West Virginia, across the Big Sandy River from MPC�� Catlettsburg, Kentucky refinery. This storage cavern has approximately 1.0 million barrels of storage capacity and is connected to MPC�� Catlettsburg refinery. Rail access to the storage cavern is also available through connections with the refinery.

The Company�� barge dock is located on the Mississippi River in Wood River, Illinois and is used both for crude oil barge loading and products barge unloading. The barge dock is connected to its Wood River tank farm by approximately two miles of 14-inch pipeline, which transfers crude oil from the tank farm to the dock, and two 10-inch pipelines, which are each approximately two miles long and transfer products and feedstocks from the dock to the tank farm. On December 20, 2012, the Company acquired from Chesapeake Midstream Development, L.P. (CMD), a wholly owned subsidiary of Chesapeake, and certain of CMD's affiliates, 100% of interests in Chesapeake Midstream Operating, L.L.C. (CMO). As a result of the CMO Acquisition, the Partnership owns certain midstream assets in the Eagle Ford, Utica and Niobrara regions. The CMO Acquisition also extended the Company's assets and operations in the Haynesville, Marcellus and Mid-Continent regions.

The Company operates assets in Barnett Shale region in north-central Texas; Eagle Ford Shale region in South Texas; Haynesville Shale region in northwest Louisiana; Marcellus Shale region in Pennsylvania and West Virginia; Niobrara Shale region in eastern Wyoming; Utica Shale region in eastern Ohio, and Mid-Continent region, which includes the Anadarko, Arkoma, Delaware and Permian Basins. The Company's gathering systems collect natural gas and NGLs from unconventional plays. The Company generates its revenues through long-term, fixed-fee gas gathering, treating and compression contracts and through processing contracts.

Barnett Shale Region

The Company's gathering systems in its Barnett Shale region are located in Tarrant, Johnson and Dallas counties in Texas in the Core and Tier 1 areas of the Barnett Shale and consist of 25 interconnected gathering systems and 850 miles of pipeline. During the year! ended December 31, 2012, average throughput on the Company's Barnett Shale gathering system was 1.195 billion cubic feet per day. The Company connects its gathering systems to receipt points that are either at the individual wellhead or at central receipts points into which production from multiple wells are gathered. The Company's Barnett Shale gathering system is connected to the three downstream transportation pipelines: Atmos Pipeline Texas, Energy Transfer Pipeline Texas and Enterprise Texas Pipeline. Natural gas delivered into Atmos Pipeline Texas pipeline system serves the greater Dallas/Fort Worth metropolitan area and south, east and west Texas markets at the Katy, Carthage and Waha hubs. Natural gas delivered into Energy Transfer Pipeline Texas pipeline system serves the greater Dallas/Fort Worth metropolitan area and southeastern and northeastern the United States markets supplied by the Midcontinent Express Pipeline, Centerpoint CP Expansion Pipeline and Gulf South 42-inch Expansion Pipeline. Natural gas delivered into Enterprise Texas Pipeline pipeline system serves the greater Dallas/Fort Worth metropolitan area and southeastern and northeastern the United States markets supplied by the Gulf Crossing Pipeline.

Eagle Ford Shale Region

The Company's gathering systems in its Eagle Ford Shale region are located in Dimmit, La Salle, Frio, Zavala, McMullen and Webb counties in Texas and consist of 10 gathering systems and 618 miles of pipeline. During 2012, gross throughput for these assets was 0.169 billion cubic feet per day. The Company connects its gathering systems to central receipt points into which production from multiple wells is gathered. The Company's Eagle Ford gathering systems are connected to six downstream transportation pipelines, which include Enterprise, Camino Real, West Texas Gas, Regency Gas Service, Eagle Ford Gathering and Enerfin. The Company processes gas at Yoakum or other Enterprise plants and transports residue to Wharton residue header w! ith conne! ctions to numerous interstate pipelines.

Haynesville Shale Region

The Company's Springridge gas gathering system in the Haynesville Shale region is located in Caddo and DeSoto Parishes, Louisiana, in one of the core areas of the Haynesville Shale and consists of 263 miles of pipeline. During 2012, average throughput on the Company's Springridge gathering system was 0.359 billion cubic feet per day. The Company connects its gathering system to receipt points that are at central receipt points into which production from multiple wells is gathered. The Company's Springridge gathering system is connected to three downstream transportation pipelines: Centerpoint Energy Gas Transmission, ETC Tiger Pipeline and Texas Gas Transmission Pipeline. The Company's Mansfield gas gathering system in the Haynesville Shale region is located in DeSoto and Sabine Parishes, Louisiana, in one of the areas of the Haynesville Shale and, as of December 31, 2012, consist of 304 miles of pipeline. During 2012, average throughput on the Company's Mansfield gathering system was 0.720 billion cubic feet per day. The Company connects its gathering system to receipt points that are at central receipt points into which production from multiple wells is gathered and treated. The Company's Mansfield gathering system is connected to two downstream transportation pipelines: Enterprise Accadian Pipeline and Gulf South Pipeline. Natural gas delivered into Enterprise Accadian pipeline can move to on-system markets in the Midwest and to off-system markets in the Northeast through interconnections with third-party pipelines. Marcellus Shale Region

Through Appalachia Midstream, the Company operates 100% of and own an approximate average 47% interests in 10 gas gathering systems that consist of approximately 5! 49 miles ! of gathering pipeline in the Marcellus Shale region. The Company's volumes in the region are gathered from northern Pennsylvania, southwestern Pennsylvania and the northwestern panhandle of West Virginia, in core areas of the Marcellus Shale. The Company operates these smaller systems in northeast and central West Virginia, southeast Pennsylvania, northwest Maryland, north central Virginia, and south central New York. During 2012, gross throughput for Appalachia Midstream assets was just over 1.8 billion cubic feet per day. The Company's Marcellus gathering systems' delivery points include Caiman Energy, Central New York Oil & Gas, Columbia Gas Transmission, MarkWest, NiSource Midstream, PVR and Tennessee Gas Pipeline. Natural gas is delivered into a 16-inch pipeline and delivered to the Caiman Energy Fort Beeler processing plant where the liquids are extracted from the gas stream. The natural gas is then delivered into the TETCo interstate pipeline for ultimate delivery to the Northeast region of the United States. Natural gas delivered into Central New York Oil & Gas 30-inch diameter pipeline can be delivered to Stagecoach Storage, Millennium Pipeline, or Tennessee Gas Pipeline's Line 300. In Columbia Gas Transmission lean natural gas is delivered into two 36-inch interstate pipelines for delivery to the Mid-Atlantic and Northeast regions of the United States. Natural gas is delivered into a MarkWest pipeline for delivery to the MarkWest Houston processing plant where the liquids are extracted from the gas stream. In NiSource Midstream natural gas is delivered into a 20-inch diameter pipeline and delivered to the MarkWest Majorsville processing plant where the liquids are extracted from the rich gas stream. In PVR natural gas is delivered into the 24-inch diameter Wyoming pipeline and the Hirkey Compressor Station. In Tennessee Gas Pipeline natural gas is delivered into this looped 30-inch diameter pipeline (TGP Line 300) at three different locations can be received in the Northeast at points along th! e 300 Lin! e path, interconnections with other pipelines in northern New Jersey, as well as an existing delivery point in White Plains, New York.

Niobrara Shale Region

The Company's gathering systems in the Niobrara Shale region are located in Converse County, Wyoming and consist of two interconnected gathering systems and 79 miles of pipeline. During 2012, average throughput in the Company's Niobrara Shale region was 0.013 billion cubic feet per day. The Company connects its gathering systems to receipt points,which are either at the individual wellhead or at central receipts points into which production from multiple wells are gathered. The Company's Niobrara gathering systems are connected to two downstream transportation pipelines: Tallgrass/Douglas Pipeline and North Finn/DCP Inlet Pipeline. Natural gas delivered into Tallgrass/Douglas pipeline is sent to the Tallgrass processing facility; after processing, natural gas is delivered to Cheyenne Hub, Rockies Express Pipeline, or Trailblazer Pipeline through Tallgrass Interstate Gas Transmission.

Utica Shale Region

The Company's gathering systems in the Utica Shale region are located in northeast Ohio and consist of 67 miles of pipeline. The Company's Utica gathering systems are connected to two downstream transportation pipelines: Dominion East Ohio (Blue Racer) and Dominion Transmission, Inc.

Mid-Continent Region

The Company's Mid-Continent gathering systems extend across portions of Oklahoma, Texas, Arkansas and Kansas. Included in the Company's Mid-Continent region are three treating facilities located in Beckham and Grady Counties, Oklahoma, and Reeves County, Texas, which are designed to remove contaminants from the natural gas stream.

Anadarko Basin and Northwest Oklahoma

The Company's assets within the Anadarko Basin and Northwest Oklahoma are located in northwestern Oklahoma and the northeastern portion of the Texas Panhandle and consist of appro! ximately ! 1,578 miles of pipeline. During 2012, the Company's Anadarko Basin and Northwest Oklahoma region gathering systems had an average throughput of 0.457 billion cubic feet per day. Within the Anadarko Basin and Northwest Oklahoma, the Company is focused on servicing Chesapeake's production from the Colony Granite Wash, Texas Panhandle Granite Wash and Mississippi Lime plays. Natural gas production from these areas of the Anadarko Basin and Northwest Oklahoma contains NGLs. The Company's Anadarko Basin and Northwest Oklahoma systems are connected to a transportation pipelines transporting natural gas out of the region, including pipelines owned by Enbridge and Atlas Pipelines, as well as local market pipelines such as those owned by Enogex. These pipelines provide access to Midwest and northeastern the United States markets, as well as intrastate markets.

Permian Basin

The Company's Permian Basin assets are located in west Texas and consist of approximately 358 miles of pipeline across the Permian and Delaware basins. During 2012, average throughput on the Company's gathering systems was 0.076 billion cubic feet per day. The Company's Permian Basin gathering systems are connected to pipelines in the area owned by Southern Union, Enterprise, West Texas Gas, CDP Midstream and Regency. Natural gas delivered into these transportation pipelines is re-delivered into the Waha hub and El Paso Gas Transmission. The Waha hub serves the Texas intrastate electric power plants and heating market, as well as the Houston Ship Channel chemical and refining markets. Other Mid-Continent Regions

The Company's other Mid-Continent region assets consist of systems in the Ardmore Basin in Oklahoma, the Arkoma Basin in eastern Oklahoma and western Arkansas and the East Texas and Gulf Coast regions of Texas. The other Mid-Continent assets include approximately 648 miles of pipeline. These gathering systems are localized systems gathering specific production for re-delivery into established pipeline markets. During 2012, average throughput on these gathering systems was 0.031 billion cubic feet per day.

Drybulk Operations

The Company manages the deployment of its drybulk fleet between long-term and short-term time charters. A time charter is a contract to charter a vessel for a fixed period of time at a specified or floating daily or index-based daily rate and can last from a few days to several years. A spot charter refers to a voyage charter or a trip charter or a short-term time charter. Under a bareboat charter, the vessel is chartered for a stipulated period of time, which gives the charterer possession and control of the vessel, including the right to appoint the master and the crew.

Offshore Drilling Operations

In January 2012, following the completion of the contract with Tullow Oil plc (Tullow Oil) contract, discussed below, the Eirik Raude commenced a contract with Anadarko Cote d��voire Company (Anadarko) for the drilling of two wells offshore West ! Africa. I! ts offshore drilling operations consist of the Ocean Rig Corcovado, the Ocean Rig Olympia, the Ocean Rig Poseidon and the Ocean Rig Mykonos. As of December 31, 2011, the Ocean Rig Corcovado was employed under a three-year contract, plus a mobilization period, with Petroleo Brasileiro S.A. (Petrobras Brazil) for drilling operations offshore Brazil. The Ocean Rig Olympia is operating under contracts to drill a total of five wells for exploration drilling offshore Ghana and the Ivory Coast. The Ocean Rig Poseidon commenced a contract with Petrobras Tanzania, a company related to Petrobras Oil & Gas B.V. (Petrobras Oil & Gas).

The Ocean Rig Mykonos commenced a three-year contract, plus a mobilization period, with Petrobras Brazil, on September 30, 2011, for drilling operations offshore Brazil. DryShips�� wholly owned subsidiary, Ocean Rig AS, provides supervisory management services, including onshore management, to its operating drilling rigs and drillships. DryShips also has contracts to provide offshore drilling services and drilling units.

Tanker Operations

The Company employs its Aframax tankers Saga, Daytona, Belmar and Calida, in the Sigma tanker pool, which consists of 46 Aframax tankers, with fourteen different pool partners. DryShips currently trades at less than half book value. Before the collapse in 2008, it traded as high as over $100 per share.

    Canada's national tragedy
    Unfortunately, the year was marred by more than just close calls. Earlier this month, a runaway train loaded with oil derailed in a quaint lakeside town in Quebec. An ensuing explosion caused an estimated 1.5 million gallons of oil to catch fire, ultimately killing 47 people. Despite a previously stellar safety record, oil-by-rail has seen several spills this year, including three small spills earlier this year by Canadian Pacific (NYSE: CP  ) . Its largest accident resulted in a spill of 30,000 gallons of oil in Minnesota. However, those spills are really a drop in the bucket when compared with the devastating tragedy in Canada, which is by far the worst oil-by-rail disaster since the industry started relying on the rails because of a lack of pipeline capacity.�
